The firm assisted the shareholders of Arcansas, a company specializing in the production of profiles for cladding, hygienic junctions, flooring, and DIY hardware, in the sale of the majority of the share capital to a vehicle controlled by the private equity fund “Gradiente II,” managed by Gradiente SGR.
The transaction was carried out through the prior transfer of the industrial business unit to a NewCo, followed by the acquisition of the same by the corporate vehicle controlled by Gradiente. The firm assisted the sellers in negotiating and defining the share sale agreement, the reinvestment contract in NewCo, the shareholders’ agreement, and all ancillary agreements (including non-compete agreements and IP rights transfers). Thanks to the firm’s intervention, the founding shareholders of Arcansas retained significant voice and administrative rights both in the shareholders’ meeting and in the company’s board of directors.<\/p>
