The firm assisted Impafin, the holding company of the IMALPAL Group, a leader in the development and production of machinery and systems for wood processing based in San Damaso (Modena), in the acquisition of a majority stake in Unibelt Srl, a company operating in the transport and industrial automation sector. The transaction was completed following the spin-off of certain non-strategic assets that were separated from Unibelt. As part of the transaction, the firm managed the negotiation and drafting of the investment agreement and the shareholders’ agreement entered into by Impafin with the founding shareholders of Unibelt, who retained a minority stake in the company. In the same context, agreements were also defined with the Key Managers of Unibelt, who will continue to assist Impafin in the management of the company.<\/p>
