The firm assisted the Fiorucci family in the internationalization process of the company Fabio Fiorucci Srl, which specializes in the marketing of integrated systems for the naval sector and is a supplier to the most important Italian shipyards, through the sale of a majority stake in favor of the Emirati company Elcome International LLC, one of the world’s leading integrators of marine technology systems. As part of the transaction, the firm managed the negotiation and definition of the contract for the purchase of the shares of the target company as well as the shareholders’ agreement by which the Fiorucci family, which will continue to co-manage the company together with the new majority shareholder, was guaranteed important rights (voice and administrative) both in the shareholders’ meeting and in the company’s board of directors. The firm also successfully managed the entire regulatory procedure related to the prior approval of the transaction by the Government of the Italian Republic pursuant to the provisions of Decree-Law No. 21 of March 15, 2012, as amended and supplemented.
