Ceccarelli e Silvestri and Watson Farley & Williams in the Ensource Renewables / Smart Energies Transition SAS deal

The firm assisted Ensource Renewables, a subsidiary of the Irish company Ensource Energy Ltd, which focuses on renewable energy projects in Europe for investment purposes, in the sale to Smart Energies Transition, a French independent power producer active in the renewable energy sector, of a photovoltaic portfolio owned by Ensource. This portfolio consists of two special purpose vehicles holding the permits for the construction and installation of eight rooftop photovoltaic plants. As part of the transaction, the firm handled the negotiation and drafting of the share transfer agreements, as well as the contractual aspects related to the Engineering Procurement & Construction Contract (EPC), the Operation & Maintenance (O&M) Contract, and the Development Contract aimed at the realization and development of the photovoltaic plants. The projects for the construction of the new plants involve various Italian regions, including Lombardy, Veneto, Lazio, and Marche.
